Evernorth has cleared a major step toward becoming a publicly traded XRP treasury company, but the financing headline attached to its transaction does not represent $300 million of immediately available money for new XRP purchases.
Shareholders of Evernorth and Armada Acquisition Corp. II approved their proposed business combination on September 30, according to CryptoSlate. The companies announced the approval on October 1 and said they expect the transaction to close on October 7, subject to remaining conditions. If completed, the combined company’s Class A shares are expected to begin trading on Nasdaq under the symbol XRPN on October 8.
The central issue now is how much cash will actually be available after closing, expenses and other corporate requirements. Based on disclosed delayed financing, conditional notes and expected trust proceeds, the identifiable closing-linked sources amount to roughly $88.5 million if all of them settle. That is a gross figure, not a confirmed budget for XRP purchases.
Why the $300 million figure needs context
Evernorth’s transaction materials refer to approximately $300 million in gross cash sources. The detailed figures include $225 million from related private placements, $30 million from additional convertible-note financing and about $48 million from trust proceeds. Together, those amounts total approximately $303 million before transaction costs, which explains why the company uses a rounded figure.
However, the private-placement total includes money that has already been used. The definitive proxy divides the placements into $214.05 million of advance cash subscriptions and $10.5 million of delayed cash subscriptions. The advance subscriptions helped finance Evernorth’s reported purchase of approximately 84.37 million XRP in November 2025, at an average price of about $2.54 per token. The purchase cost was approximately $214 million.
That historical deployment matters because cash converted into XRP cannot be counted again as funding for a later acquisition. Evernorth has not disclosed a precise current balance of unused advance cash, and the rounded value of the earlier purchase is not enough to calculate one.
The more identifiable sources tied to the closing are therefore the $10.5 million in delayed cash subscriptions, the $30 million note financing and the approximately $48 million in trust proceeds. Their combined value is about $88.5 million, assuming each source settles as described. The figure remains a gross estimate and does not establish how much will ultimately be spent on tokens.
Conditions, costs and debt remain important
The financing is not unconditional. Armada’s September financing disclosure says the $30 million note issuance depends on, and is expected to take place concurrently with, the business-combination closing. Shareholder approval removes one hurdle, but it does not by itself confirm that the note proceeds have arrived.
The transaction documents also allow subscription proceeds and trust cash to be used for working capital, general corporate purposes and XRP purchases. The note agreement permits similar general corporate uses, including XRP acquisitions and other activities within the XRP ecosystem. As a result, money allocated to ecosystem activities cannot automatically be treated as cash spent buying XRP in the market.
There are also existing obligations to consider. Armada’s balance sheet as of June 30, 2026 listed approximately $5.39 million in accounts payable and accrued expenses and a $9.2 million deferred underwriting fee payable. Those are dated SPAC figures rather than a final closing expense schedule, and payment of the underwriting fee depends on the amount remaining in the trust after redemptions.
The convertible financing adds an obligation as well as potential liquidity. Evernorth’s September 17 filing describes annual payment-in-kind interest of 4%, meaning interest is added to principal, with maturity in 2031 unless the notes are converted, redeemed or repurchased earlier under their terms.
Token holdings will need a separate reconciliation
Evernorth expects to hold approximately 473 million XRP at closing. That expected balance should not be interpreted automatically as 473 million tokens newly purchased after the shareholder vote. The number can include earlier acquisitions, committed purchases and XRP contributed by investors.
The proxy describes a separate 50 million XRP related-party subscription and approximately 211.3 million XRP invested through the sponsor by RippleWorks. These in-kind contributions can increase the treasury’s XRP balance without the company spending an equivalent amount of cash to buy tokens in the market. RippleWorks could withdraw its investment if the business combination failed to close.
The November 2025 disclosure had already referred to more than 473 million XRP as purchased and committed. That similarity means the closing estimate cannot by itself demonstrate a fresh acquisition of 473 million tokens. It also leaves open the distinction between tokens already received and commitments that had not yet settled.
The clearest evidence of new XRP demand will come from disclosures showing settled cash, the amount spent on tokens and the quantity acquired. A final cash balance and expense schedule would show how much funding remained after the transaction. A holdings reconciliation would then separate open-market purchases from in-kind contributions and other treasury activity.
Nasdaq trading in XRPN would not answer that question. In ordinary secondary-market share trading, money passes between buyers and sellers rather than to the issuing company. New company cash arises from a capital raise, but even that cash becomes evidence of additional XRP demand only when the company allocates it to a purchase and executes the transaction.
Moneyiar market picture
Moneyiar data at 09:38-09:39 on October 3, 2026 showed XRP at $1.4824433831, down 3.49% over 24 hours and 3.76% over seven days. Chainlink was $13.9388777774, down 3.07% over 24 hours and 0.49% over seven days, while Ethereum Name Service stood at $6.7181415928, down 4.35% and 5.10% over those periods, respectively.
The next material updates for Evernorth will be confirmation of closing, settlement of the remaining financing and a disclosure showing how much cash was retained and how it was used. Those details, rather than the headline gross financing figure or the company’s share-market debut, will determine the scale of any additional XRP buying.
