Strategy has conditionally declared daily cash dividends for November on its STRC preferred stock, as the security remains below its $100 par value and the company continues using it as a financing tool for Bitcoin purchases.
November dividend plan
The board of Michael Saylor’s Strategy declared a dividend for every calendar day from Nov. 1 through Nov. 30. The decision is conditional: shareholder approval is required, and the related amendments must take effect before the declaration is finalized.
Payments are scheduled to begin Nov. 2. Under the company’s filing with the US Securities and Exchange Commission, each dividend will be paid on the business day after its record date. The annualized dividend rate is set to remain at 12% throughout November.
Strategy said its management would continue recommending the 12% rate until STRC shows “sustained, healthy trading near $100 per share.” That target is significant because $100 is the preferred stock’s par value, or stated face value.
STRC remains below par value
STRC was trading at $99.32 at 1:36 p.m. UTC on Friday, down 0.2%, according to Yahoo Finance. The security’s position below $100 helps explain the company’s decision to maintain a comparatively high annualized dividend rate and to declare payments on a daily basis.
Daily distributions can make a preferred security more attractive to investors seeking regular cash payments. Strategy also said the approach could help STRC trade closer to its par value. However, the source material does not indicate that the company has set a deadline for reaching that level.
According to Cointelegraph, STRC is one of Strategy’s principal fundraising vehicles for buying Bitcoin. Preferred stock is a class of company security that generally has stated dividend terms and priority over common stock for dividend payments, although the specific conditions in this case remain subject to the proposed amendments and shareholder approval.
Strategy’s Bitcoin and buyback activity
Strategy added 250 Bitcoin for $21.5 million in the week before the announcement, taking its total holdings to 848,250 BTC. The company has positioned Bitcoin purchases as a central part of its corporate financing strategy.
The company’s recent activity also included a substantial STRC repurchase. During the week ending Oct. 4, Strategy bought back $176 million of STRC. That was more than six times the $28 million it spent on Bitcoin purchases during the same period.
On June 29, Strategy introduced a capital framework that allows Bitcoin sales to fund dividends. At the same time, it increased STRC’s annual dividend rate to 12%. The November recommendation continues that policy while the preferred stock remains below the company’s stated trading objective.
