Super League Enterprise shareholders have approved the proposals required for Metaplanet to invest 2,100 Bitcoin and $2.5 million in the Nasdaq-listed company, moving the Japanese Bitcoin-focused firm closer to creating a U.S.-listed treasury vehicle called Superplanet.
The resolutions were approved at Super League’s 2026 annual meeting of stockholders on Friday and disclosed on Monday morning, according to Bitcoin Magazine. The transaction was initially announced in August, but the shareholder vote was a necessary step before the deal can proceed.
What shareholders approved
Under the definitive agreement, Metaplanet will contribute the Bitcoin and cash through Metaplanet Holdings, its wholly owned U.S. subsidiary. In return, the Japanese company is set to receive 44,859,400 shares of Super League common stock priced at $3 per share, together with preferred stock and warrants.
The approved measures cover the issuance of the common shares and warrants to Metaplanet, as well as the proposed corporate name change. Shareholders also approved an increase in the number of authorized preferred shares from 10 million to 100 million, according to a summary of the meeting posted on X.
Once the transaction closes, Super League is expected to become Superplanet, Inc. The company plans to continue trading on Nasdaq under the ticker “SUPA.” The completion date is anticipated in the fourth quarter of 2026, although the shareholder vote does not complete the transaction by itself. The deal remains subject to customary closing conditions, including required filings with the Nasdaq Capital Market.
A second listed Bitcoin treasury platform
The agreement is designed to give Metaplanet a U.S.-listed Bitcoin treasury platform alongside its existing presence on the Tokyo Stock Exchange. The combined structure would therefore consist of two listed Bitcoin treasury vehicles, each serving its own investor base and reporting currency.
Metaplanet reported holding 43,000 BTC as of August 18 and described itself as the third-largest Bitcoin treasury among publicly traded companies. Its stated aim for the Superplanet structure is to gain direct access to U.S. capital markets and more flexibility to raise funds when it chooses to do so.
Simon Gerovich, Metaplanet’s chief executive, said on X that the approval marked an important stage in the company’s shift from a Bitcoin treasury company toward a global Bitcoin-native financial platform. He described Superplanet as the planned U.S.-listed Bitcoin treasury platform after closing.
The agreement also sets conditions around Metaplanet’s ability to dispose of its equity holdings following the transaction. Super League did not disclose details of any exceptions to those restrictions in its announcement.
A Bitcoin treasury company is a publicly traded business that holds Bitcoin as a central part of its corporate assets or strategy. A Nasdaq listing can provide a company with access to U.S. equity investors, while a dual-platform structure may allow the wider group to operate across two public markets. The source material does not specify how much additional capital Superplanet may raise or how the two listed entities will be managed after closing.
Super League’s business will continue
The transaction does not eliminate Super League’s existing operating business. Its advertising and media activation operations are expected to remain a distinct segment, and Matt Edelman will continue as chief executive officer.
Super League connects brands with what it describes as a global gaming population of 3.3 billion people through advertising and branded-content programs across gaming and digital-media platforms. Edelman said the shareholder approval moved the company closer to redefining its future, while the company’s announcement presented the vote as progress toward the proposed transformation.
Super League shares moved higher after the approval was reported. The source material did not provide the size of that move or a closing share price.
